Cerahi Dentistry — Dental Instrument Manufacturers

Cerahi Dentistry operates as a professional manufacturer and exporter of dental instruments and related products, based in Sialkot, Pakistan. These Terms & Conditions govern all orders, transactions, and engagements between Cerahi Dentistry and its clients worldwide, and form a legally binding agreement upon placement of an order.

By placing an order or using our services, you agree to comply with and be bound by these Terms in full.

1. Introduction & Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "Client," or "you") and Cerahi Dentistry ("Cerahi," "we," "our," or "us"), a professional manufacturer and supplier of dental instruments and related products. By placing an order, submitting an inquiry, or otherwise engaging with our Services, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Services. These Terms apply to all transactions, orders, communications, and agreements between you and Cerahi Dentistry.

2. Definitions

"Services" means all products, dental instruments, equipment, manufacturing services, and any related offerings provided by Cerahi Dentistry. "Order" means any purchase order, quotation acceptance, or formal request submitted by the Buyer to Cerahi for the supply of products or services. "Products" means dental instruments, scalers, surgical tools, and any other goods manufactured or supplied by Cerahi Dentistry. "Intellectual Property" means all patents, trademarks, trade names, designs, copyrights, trade secrets, and any other proprietary rights owned by or licensed to Cerahi Dentistry. "Confidential Information" means any non-public information disclosed by either party in the course of business dealings.

3. Orders & Order Acceptance

All orders are subject to formal acceptance by Cerahi Dentistry. Submission of an inquiry or purchase order by the Buyer does not constitute a binding contract until Cerahi has issued a written order confirmation or proforma invoice.

3.1. Order Placement

Orders may be placed via email, our official website, or through an authorized representative of Cerahi Dentistry. All orders must clearly specify: product specifications, quantities, delivery requirements, and any applicable standards or certifications required.

3.2. Order Modifications & Cancellations

Once an order has been confirmed and production has commenced, modifications or cancellations may not be possible without the written consent of Cerahi. Any modifications or cancellations accepted by Cerahi may be subject to additional charges to cover costs already incurred, including materials, labor, and overhead.

3.3. Minimum Order Quantities

Certain products may be subject to minimum order quantities (MOQ). These will be communicated at the time of quotation. Cerahi reserves the right to decline orders that do not meet the specified MOQ.

4. Pricing & Payment Terms

All prices are quoted in USD (or as otherwise agreed) and are subject to change without notice until a formal order confirmation has been issued.

4.1. Quotations

Quotations are valid for a period of 30 days from the date of issue unless otherwise specified. Cerahi reserves the right to revise pricing in the event of significant changes in raw material costs, labor costs, or exchange rates occurring after the quotation date.

4.2. Payment Methods

Accepted payment methods include: Telegraphic Transfer (TT / Wire Transfer) — Payment in full or as agreed advance payment prior to shipment. Letter of Credit (LC) — Irrevocable LC issued by an internationally recognized bank, subject to terms agreed in the sales contract. Documents Against Payment (DP) — Shipping documents released upon full payment at sight. Documents Against Acceptance (DA) — Shipping documents released upon acceptance of a time draft.

4.3. Late Payments

In the event of late payment, Cerahi Dentistry reserves the right to charge interest on overdue amounts at a rate of 2% per month (or the maximum rate permitted by law, whichever is lower), suspend or cancel pending orders, and withhold future shipments until outstanding balances are settled.

5. Product Quality & Specifications

Cerahi Dentistry is committed to delivering dental instruments that meet the highest standards of quality and precision.

5.1. Quality Standards

All products are manufactured in accordance with applicable international quality standards. Cerahi maintains rigorous in-house quality control processes, including visual inspections, dimensional verification, and material testing.

5.2. Product Specifications

Products are manufactured according to the specifications agreed upon at the time of order confirmation. Any changes to specifications must be submitted in writing prior to production commencement and are subject to additional charges and revised lead times.

5.3. Product Samples

Samples may be provided upon request. Sample charges and lead times will be communicated separately. Bulk production will proceed only upon written approval of the sample by the Buyer.

6. Intellectual Property & Branding

Cerahi Dentistry respects all intellectual property rights and expects the same from its clients.

6.1. Cerahi's Intellectual Property

All designs, manufacturing processes, trade secrets, product innovations, and proprietary techniques developed by Cerahi Dentistry are and remain the exclusive intellectual property of Cerahi. The Buyer is granted no rights or licenses to any of Cerahi's intellectual property except as explicitly provided in a separate written agreement.

6.2. Buyer's Branding & Private Label

Cerahi may manufacture products under the Buyer's brand, logo, or private label upon written request. Where the Buyer provides designs, logos, or specifications for private label production, the Buyer warrants that such intellectual property does not infringe upon any third-party rights, and shall indemnify Cerahi against any claims arising from such infringement.

7. Warranty & Limitation of Liability

Cerahi Dentistry warrants that all products will be free from material defects in materials and workmanship at the time of shipment.

7.1. Warranty Claims

To make a warranty claim, the Buyer must notify Cerahi in writing within 30 days of receipt of goods, providing photographic evidence and a detailed description of the defect. Cerahi will assess the claim and, at its sole discretion, repair, replace, or credit the defective goods.

7.2. Exclusions

The warranty does not cover defects arising from improper use, storage, maintenance, or handling by the Buyer or third parties; normal wear and tear; modifications made without Cerahi's written consent; or damage caused during transit after risk has transferred to the Buyer.

7.3. Limitation of Liability

To the maximum extent permitted by applicable law, Cerahi Dentistry's total aggregate liability to the Buyer in connection with any order shall not exceed the total value paid by the Buyer for the specific shipment giving rise to the claim. Cerahi shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of business, or loss of data.

8. Confidentiality

Both parties agree to keep confidential any non-public business information, technical data, pricing, customer lists, or trade secrets disclosed by the other party in the course of their business relationship. This obligation of confidentiality shall survive the termination of any business agreement between the parties for a period of five (5) years. Neither party shall disclose the other's Confidential Information to any third party without prior written consent, except as required by applicable law or a court of competent jurisdiction.

9. Governing Law & Dispute Resolution

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Pakistan. In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiations. If negotiations fail within 30 days, any dispute shall be submitted to binding arbitration in Sialkot, Pakistan, under the rules of the relevant arbitral authority, unless otherwise agreed in a separate contract. Nothing in this clause shall prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction.

10. Amendments & Severability

Cerahi Dentistry reserves the right to amend, update, or modify these Terms at any time. Amendments will take effect upon publication on our official website. Continued use of our Services after such publication constitutes acceptance of the revised Terms. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms without affecting the enforceability of all remaining provisions.
